Terms of business

The placing of an order expresses acceptance of these terms and conditions of business. The following terms and conditions apply to and are deemed to be incorporated in all contracts for the supply of the company’s services and materials. They specifically exclude any terms and conditions proffered by the client or any other party. They should be read in conjunction with our Privacy Policy.

Estimates & Quotes

Unless otherwise stated, an estimate is valid for acceptance for a period not exceeding 30 days from the date of the estimate. Yipikiyay reserves the right to adjust the estimate price following inspection of the work order, job specifications and the final requirements. Changes/additions to the original job spec can, of course, increase production time, and are therefore subject to additional charges above the original quote. This will be agreed in writing at the time.

Cancellation & Delay

After the placing of an order and before the commencement of the order Yipikiyay shall provide a work schedule of the hours allocated to each order. Any orders placed and subsequently cancelled or delayed without at least 48 hours before the first date in the work schedule will be charged at 50% Yipikiyay's day rate for each day affected.

Job Specifications

An order or the acceptance of an estimate must be accompanied by sufficient information to proceed with the order. Where specific elements of job are not described clearly and accurately by the client, the implementation of those elements will be at the discretion of Yipikiyay. Any subsequent modifications to the specification must be confirmed in writing via email or post. Any quote includes two minor modifications to the job specifications, any modifications after that will be chargeable at a rate agreed upon at the time. Any goods rejected, or not complying for whatever reason with the order within the finished product, must be notified to Yipikiyay in writing within 30 days of receipt in order for an inspection and remediation to be considered.

Client supplied media

By placing an order the client declares their right to reproduce all media supplied. The client assumes absolute liability for any violation of copyright in any action brought by a third party and agrees to indemnify Yipikiyay against any resulting loss or damage. Yipikiyay reserves the right to refuse to work with material that it deems to be immoral or offensive, which includes but is not limited to, racist, sexist or profane content.

License

Unless specifically agreed, commissioned work remains the property of Yipikiyay, and the transaction made with Yipikiyay is deemed to be the purchase of an exclusive and indefinite license to publish the commissioned work and not for duplication or re-sale without prior permission of Yipikiyay Ltd.

Deadlines

Yipikiyay will use its best endeavours to ensure that orders are completed within any deadlines agreed at time of order but will not accept any liability for damages in the event of failure to do so. Should delay be experienced in the completion of a job the buyer does not have the right to cancel the order either entirely or in part. Yipikiyay cannot accept responsibility for consequential loss or damage caused by errors or delay in delivery or from any cause.

Payment

Preferred payment method is by BACS payable to the Yipikiyay bank account. If payment is not made on the due date, Yipikiyay shall, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, charge interest on late payments of at 8% above the Bank of England Base rate until the outstanding amount is paid in full. Yipikiyay retains title to the goods until all amounts due from the client are paid. Alternative payment arrangements must be agreed in writing.

Accreditation

Unless specifically agreed otherwsie, Yipikiyay reserve the right to include reasonable additional text and/or graphics, agreed beforehand by the client, in products produced by them, for the purposes of acknowledging authorship of content.
